1. Purpose and Scope
This document is designed for all our partner consultants working with Novancy Consulting on intellectual service assignments (IT, Information Systems, Human Resources, and more).
It aims to clarify the contracting terms that apply to any collaboration with Novancy Consulting, a company established in Morocco.
Important Note: Should any discrepancies arise between the information in this document and official contractual documents (framework agreements, purchase orders, appendices, etc.), the latter shall prevail..
2. Contractual Collaboration Framework
Each partner consultant is bound to Novancy Consulting through a subcontracting framework agreement, established for an annual (or multi-year) period with automatic renewal unless otherwise specified.
This framework agreement involves three parties:
- The consultant, personally acknowledging the contractual terms
- The legal representation entity (umbrella company or sole proprietorship-entrepreneur), responsible for invoice issuance
- Novancy Consulting, represented by its CEO
3. Framework Agreement Structure
Each framework agreement is referenced, dated, and specified for its duration. It consists of two main documents:
- The core contract, outlining general collaboration terms
- Appendix A, covering confidentiality commitments and sensitive data handling
One or more purchase orders (POs) are attached to this framework agreement, specifying each mission's details:
- Client name
- Scope of intervention
- Duration or workload in Person-Days
- Average Daily Rate (ADR /TJM)
- Location, logistics arrangements, etc.
4. Contract Issuance and Renewal
The framework agreement is issued:
- Upon first collaboration between the consultant and Novancy Consulting
- When resuming collaboration after an extended interruption
Subsequently, amendments may be established:
- When launching a new mission (issuing an Appendix Ax)
- Upon renewal of the core contract
A KYS (Know Your Supplier) file is required for each issuance or renewal.
5. Signature Process and Effective Date
Before final validation, a pre-filled copy will be submitted for your review and confirmation.
Tripartite signature required (2 hard copies):
- Consultant: Initial each page + signature (notarization of Appendix A, or equivalent document, case by case)
- Representation company: Legal representative's signature + company stamp
- Novancy Consulting: Manager's signature + official stamp
Contract submission methods:
- Physical drop-off by appointment at our offices (remote work policy in effect)
- Postal delivery
- Handover to a Novancy logistics agent, if based in Casablanca
Electronic signatures may be used provisionally, provided the printed, signed, stamped (and notarized where applicable) version is submitted within 15 days.
No mission may commence until the contract has been fully signed by all three parties.
6. Frequently Asked Questions
You may temporarily contract as an individual. The framework agreement will then be established between:

Once your representation entity is created, you'll need to submit a new KYS form, and either an amendment or a new contract with updated information will be issued.
Yes. We recommend discussing this with your Novancy Account Manager or Delivery Manager.
For long-term missions (≥ 6 months), Novancy Consulting can advance the following expenses through a partner accounting firm:
- Company creation fees (Morocco only)
- 3 months of accounting management fees
Eligibility conditions must be confirmed with your Novancy contact.
The KYS (Know Your Supplier) form is a mandatory document that allows Novancy Consulting to:
- Verify your entity's legal identity
- Ensure its fiscal and administrative compliance
It must be provided:
- During initial contracting
- When changing entities (new company)
- During annual contract renewal
Yes. Electronic signatures are accepted to expedite mission launches.
However, you must submit a hard copy version that is:
- Printed from the electronically signed version
- Signed and stamped (if company)
- Notarized (personal signature), if required
Maximum deadline for paper version submission: 15 days after electronic signature.
Yes, if not stamped, for contracts and amendments signed individually (or as a natural person), consultant signature notarization is mandatory.

- Inform your Novancy contact
- A contractual amendment will be issued if necessary
Yes. Each mission will have a distinct purchase order, attached to a single framework agreement (except in special cases of representation entity changes).
By default, the framework agreement is concluded for 12 months with automatic renewal, unless otherwise stated. An amendment or new contract is proposed upon renewal.
Yes. Signed documents can be:
- Delivered in person by appointment
- Sent by postal mail
- Transmitted to our logistics agent (if you're based in Casablanca)
